Shareholders of 5.75% Cumulative Convertible Preferred Shares Series C and 9.00% Cumulative Preferred Shares Series E received non-cash distributions associated with conversion adjustments, in accordance with the provisions of the respective series. The conversion adjustment feature allows Series C and Series E shareholders, when certain quarterly common share distribution thresholds are reached, to receive additional common shares of EPR Properties upon conversion of the preferred shares into shares ordinary. The increase in common stock to be received on a conversion is a deemed distribution for federal income tax purposes.

In accordance with the provisions of the respective series, the conversion adjustment is effective in the quarters in which the change in the cumulative augmented conversion ratio exceeds 1%. Deemed distributions are recognized (a) in the quarter when the cumulative conversion ratio exceeds 1% and (b) as of December 31, 2021 for any conversion adjustment that has been deferred due to the cumulative increased conversion ratio being less than 1%. Thus, a deemed distribution associated with the conversion adjustment for Series C is reflected in December 2021.
